HISTORY WE BEGAN AS A VIET NOW CHAPTER, AT THAT TIME VIET NOW MEMBERS COULD ONLY BE VETERANS THAT HAD SERVED IN VIET NAM. THE FIRST 25 MEMBERS WERE ALL VIET NAM VETERANS ,THEN OUR SONS AND DAUGHTERS STARTED RETURNING FROM OTHER CONFLICTS. THEREFORE WE BROKE AWAY FROM VIET NOW AND IN 1990 STARTED MODERN DAY VETERANS ACCEPTING ALL VETERANS FROM ALL CONFLICTS. MODERN DAY VETERANS was established on October 29, 1990 in honor of Warren Gordon Denton. He served 23 years in the armed forces, three tours in Vietnam, one in Korea, and retired Major Warren G. Denton. Gathering 25 veterans and veterans widows with the same desires, we applied to the government for a charter to start a club in honor of Warren G. Denton. In November of 1992 the U.S. government granted us a charter and other groups began to form MDV subordinates. WE HAVE OVER 400 CHAPTERS WITH OVER 3000 MEMBERS IN 7 DIFFERENT STATES AND ARE ADDING MORE EVERY DAY. WE ARE ACCEPTING ANY GROUP OF QUALIFYING VETERANS THAT WOULD LIKE TO START A CHAPTER IN ANY STATE
PURPOSES AND PRINCIPLES THE PRIMARY PURPOSE OF MODERN DAY VETERANS SHALL BE TO GIVE SUPPORT TO VETERANS AND THEIR FAMILIES. TO PROMOTE PATRIOTISM IN THE COMMUNITY, TO ASSIST DISABLED AND NEEDY VETERANS. TO PERPETUATE THE MEMORY OF DECEASED VETERANS, TO GIVE SUPPORT TO MEMBERS OF THE U.S. ARMED FORCES, AND THEIR DEPENDENTS. TO GIVE SUPPORT TO WIDOWS, WIDOWERS, AND ORPHANS OF DECEASED VETERANS. As a veterans organization we are granted many tax breaks. For example, there are no federal taxes. You are also entitled to apply for a Sales Tax Exemption. BY-LAWS TO MODERN DAY VETERANS CORPORATIONS ARTICLE I AIMS AND PURPOSES Section I. Within the spirit of our motto, Veterans Pulling Together, the Modern Day Veterans corporations shall lend its support to all veterans and their families. Section II. These bylaws are set by National that may be used by each chapter as a whole or as an example. However, if the chapter decides to reconstruct these bylaws, the changes cannot contradict the purpose and values of the Modern Day Veterans Constitution, and all changes must be sent to National for approval. Section III. Uniting fraternally, veterans and the families of veterans, in order to work together to better the lives of all veterans and their families and to assist with any difficulties encountered by them. These purposes include but are not limited to the following: A. Help fellow veterans and their families receive the benefits for which they are entitled. B. Find employment for veterans and their families. C. Help the homeless veterans find housing and re-adjust to civilian life. D. Carry on programs to perpetuate the memory of deceased veterans and members of the armed forces, and to comfort their survivors. E. Sponsor or participate in activities of a patriotic nature. F. Provide social and recreational activities for its members. G. Assist the disabled and needy war veterans and their dependents. H. Promote awareness of the prisoners of war and the missing in action issues. I. Promote the general welfare and prosperity of all Modern Day Veterans corporations. J. Present and support the purposes of Modern Day Veterans before the public and the government. Section III. A club may do all of the above, but at a minimum must do (I), (J), and one of (E) through (H). ARTICLE II MEMBERSHIP Section I. All members of all chapters, districts, and auxiliaries of all Modern Day Veterans shall be governed by National Headquarters. Each chapter has the decision as to which type of club they would like to incorporate as. Section II. Classes of chapters and individual membership applicable to each chapter. A. Full Chapters 1. Full members: persons who have served in the armed forces, widow or widowers, and spouses of persons who have served in the armed forces. a. Veteran members must be 75% of the member population. b. Widows, widowers and spouses must not exceed 25% of member population. After 25% is exceeded, an auxiliary chapter must be formed. 2. Auxiliary members: any person related by second degree to a veteran who served in the armed forces and received an honorable discharge. Must form a auxiliary post under a full post and must be related to a member of that post. 3. Honorary member: members who serve Modern Day Veterans, may or may not be a veteran, and are given a life-time membership. (Must be approved by National). 4. Associate member: Men or women who has never served in the military, nor married to a person who has served in the military. (Do not fall in any of the above categories and cannot exceed 5% of the total members). 5. Each chapter has the right to set a higher standard, but may not set a lower standard. (i.e.. a club may have an all war veterans club but may not have full members who received a dishonorable discharge). B. Auxiliary Chapters formed under a full post and related to a veteran of that post.1. Auxiliary chapter: Any combination of person related to a veterans at least by the second degree. 2. Men’s Auxiliary chapter: Male persons related to a veterans by second degree. 3. Brothers and Sons Auxiliary chapter: brother or son of veteran. 4. Ladies auxiliary chapter: female persons related to a veteran by second degree. 5. Wives and Widows Auxiliary chapter: wives or widows of veterans. 6. Mothers and daughters auxiliary chapter: mothers or daughters of veterans Section III A. Dues of chapters 1. Membership dues for each sub chapter, auxiliary chapter, auxiliary unit or district chapter shall be set by National Headquarters. B. Dues of individual members 1. Chapters and auxiliary dues shall be set by each chapter and auxiliary. 2. The amount sent to National shall be set by National Headquarters. 3. The amount sent to each district shall be set by National and the district. 4. Membership dues must be paid yearly to vote in any chapter a member must have joined on or before February 1 of any given year. The membership application is to be sent to National within seven day of the member joining. 5. A member may be reprimanded, suspended, or have his or her membership revoked for just cause by the majority vote of the full members of that chapter present at their monthly membership meeting. Section IV All Dues are non-refundable. Section V. Membership shall be for one year. ARTICLE III OFFICERS AND DUTIES Section I. A. Non- elected offices (Incorporators) 1. Commander: The commander shall be the chief executive with full power of the business and property of the corporation. This office is perpetual. 2. Vice Commander: The vice commander shall share authority with the commander regarding the business and property of the corporation. This office is not required to be filled however if it is filled, it is perpetual also. 3. Executive director: The executive director shall share authority with the commander and vice commander regarding the business and property of the corporation. This office is not required to be filled however if it is filled, it is perpetual also. Section II. B. Elected offices 1 . President: The president of each subordinate chapter shall be the chief executive with fullpower to enforce the by-laws of their chapter. The president shall perform, among such other duties as are directed to them by Board of Directors, among which are: a. Presiding at all Chapter meetings. b. Appoint chairpersons for all committees. c. The president shall insure that their chapter has quarterly meetings and that a report is sent to National Headquarters pertaining to these meetings. 2. Vice President: The vice-president shall in the absence or incapacity of the president perform the duties of the president and when so doing shall have all the powers and be subject to all restrictions of the president. The vice- president shall perform such other duties as the president may from time to time assign. 3. Secretary: The secretary shall record all proceedings of all meetings, give or cause to be given notice of all meetings, be responsible for actions of assistants required to accomplish office work, send National all membership applications within seven days of the member joining, and send a quarterly report to National. 4. Treasurer: The treasurer shall be responsible for the clubs funds. The treasurer shall have charge and custody of all funds and securities collected or obtained throughout their respective club functions and activities. The treasurer shall be responsible for maintaining accounts of such funds, securities, receipts, and disbursements in books belonging to Modern Day Veterans clubs. This includes taking proper vouchers for such disbursements, obtaining proper vouchers for such disbursements, and obtaining proper receipts. At the regular Board Meeting the treasure shall report all signed expense vouchers received since the last meeting for approval for payment by the Modern Day Veterans board. The treasure shall also give a profit and loss statement at the regular membership meeting. Section III. A. Manager: The manager of the club has full control and supervision of the bar and is accountable for all income and all expenses of the bar. The position may be filled by an officer of the board or may be a paid employee. Section iv. A. Exective board shall consist of the INCORPORATORS B. THE BOARD OF DIRECTORS CONSIST OF THE INCORPORATORS AND ALL ELECTED OFFICERS. C. THE CHIEF EXECUTIVE OR EXECUTIVE DIRECTOR MUST FIRST BE ON THE EXECUTIVE BOARD ARTICLE IV LIAISON Section I. The board shall appoint a liaison. The duties of the liaison shall be to keep the files on all members of their chapter and to file a quarter and yearly report with Headquarters. Section II. The liaison must be a full member, can be one of the officers of the board, or any other full member of the club. However, the liaison must attend all meetings and be held accountable to National for all their chapter information at all times. ARTICLE V VACANCIES The office of president shall be filled by the vice-president until a new president can be elected by the members of the chapter. The office of vice-president, secretary and treasurer shall be appointed by the president until the members of the chapter can elect a new officer. ARTICLE VI ELECTIONS Section I. Each chapter has the right to have authority over their chapters elections, so long as, the chapter does not contradict any part of the constitution of Modern Day Veterans. The offices of the president and secretary can not be occupied by the same person. Section II. All elections of all sub chapters shall be decided on by the board of directors. Elections of all officers shall be sent to National at the time of the chapter’s renewal. Section II. The executive board consist of the board of directors and any elected officers. Elected at their respective chapter. ARTICLE VII CONFLICT At any time there is conflict within the chapter, the charter’s board is to call a special meeting to handle the conflict. If the chapter’s board is unable to handle the conflict, the chapter liaison is to report the conflict to the national liaison and the national board will assist. Any decision of the national board of directors is binding. ARTICLE VIII DISCIPLINE Section I. Each chapter may sanction disciplinary codes as they see fit. Section II. When any member or any corporation of Modern Day Veterans has committed any act unbecoming a member or corporation of Modern Day Veterans, any full member may bring charges against said offender at the next meeting. Such charges must be made in writing and signed by the accusing full member. Section III. Allegations against chapters are to be made at the Headquarters’ meetings. Accusations against the officers or members are to be made at the chapters’ meetings. Section IV. After the charges have been presented before the board and the member of the chapter has had the right to defend himself, the board will decide if the charges should be voted on. In the case of a corporation being brought before Headquarters, the board of directors of National Headquarters will determine if it needs further action. Section V. If the board finds the charges against the individual to be true, it will move that it be voted on at the next membership meeting. Under normal conditions the first offense is 30 day suspension, the second offense is a 60 say suspension, and the third offenses is a one year suspension. In the case of the national board of director find a chapter at fault, the board will attempt to help the chapter correct the deficiency. ARTICLE IX MEETINGS Section I. Modern Day Veterans chapters shall have regularly scheduled meetings for all full members. At a minimum it will be quarterly in the months of January, April, July and October. Only full members may vote or hold an elected office. Section II. Special meetings may be called at anytime by the president or the secretary. Notice of any special meeting shall be given at least 10 days in advance, by proper notice, by the secretary. Section III. A quorum of the board shall be 2/3 the number of the officers of the board, the act of the majority of those present shall be binding. ARTICLE X RESIGNATIONS Section I. Written resignation- All resignations from elected positions shall be in writing. The board shall act upon resignation no later than its next board meeting. Such action shall consist of accepting such resignation or stating what must be done before accepting such resignation. Section II. Verbal resignation- If any officer verbally presents a premeditated resignation at a meeting the resignation shall be duly recorded in the minutes of the meeting. If the officer resigned in haste or due to an emotional issue, the board shall direct that the officer be contacted within 30 days to obtain confirmation of the resignation. If the officer clearly indicates he or she still wishes to resign, the secretary shall send a copy of the transcribed verbal resignation to the officer and record it in the minutes of the next meeting. ARTICLE XI DISSOLUTION Upon dissolution of any corporation in Modern Day Veterans, its board of directors, (after paying or making provisions for the payment of all of the liabilities of the corporation), shall dispose of all of the assets of the corporation to organizations organized under the 501 c 19 veterans organizations. ARTICLE XII CONDUCT Section I. Conduct at meetings: 1. No alcohol will be consumed in the same room during any meeting of Modern Day Veterans. 2. Robert’s rules of order will be followed at all membership meetings of Modern Day Veterans. Section II. Conduct of members and gusts at Modern Day Veterans clubs: 1. No fighting. 2. No foul language. 3. No soliciting of any type. ARTICLE XIII AMENDMENTS TO THE BY-LAWS Section I. These by-laws are intended to supplement the constitution and to give a general guidelines for the chapters to follow. They may be amended so long as the amendments do not contradict or take away from the constitution. If changes are made to he by-laws, they must be sent to National Headquarters for approval. Section II. The proposed amendments are then sent to national for approval. If consent is given by National, the changes may then become additional by -laws for that chapter and must be posted at least 60 days in advance of them taking effect.

PREAMBLE TO THE CONSTITUTION OF MODERN DAY VETERANS INCORPORATED We, the American war veterans realizing our responsibility to our fellow veterans and the many post stresses suffered by so many of our fellow comrades, associate ourselves for the following purposes: To uphold and defend the constitution of the United States; to safeguard the principles of freedom, liberty and justice for all; to preserve the fundamentals of freedom and democracy; and to provide the mutual assistance to all veterans and their families. We do hereby associate ourselves to upholding the constitution of Modern Day Veterans and the principles herein, so help me God.

ARTICLE I TERMS AND PROVISIONS Section I. This constitution sets forth the terms and provisions for MODERN DAY VETERANS NATIONAL HEADQUARTERS, the sub-chapters of Modern Day Veterans and all divisions and auxiliaries organized under the group exemption 9509, by the Internal Revenue Service, Internal Revenue code section 501 (c) 19. ARTICLE II LOCATION Section I. The National Headquarters of Modern Day Veterans is located in Poplar Bluff, Missouri. A. Chapters of modern day veterans National Headquarters are established under the authority of the National board of directors for the purpose of coordinating the activities of Modern Day Veterans. B. In recognition of Modern Day Veterans, being founded in the Poplar Bluff area, Modern Day Veterans National Headquarters shall not be considered to relocate or change from the Poplar Bluff area without the majority vote of the national board of directors. ARTICLE III MOTTO The official motto of all Modern Day Veterans shall be Veterans Pulling Together. Modern Day Veterans National Headquarters shall hold all rights to the motto and trademark thereof. ARTICLE IV ORGANIZATION Section I. No part of the net earnings of any of the Modern Day Veterans chapters shall incur to the benefit of, or be distributed to, their members, officers, or other private persons. A. Except that the corporations comprising Modern Day Veterans shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distribution in furtherance of the purposes set forth. B. Notwithstanding any other provisions of the constitution, the corporations comprising Modern Day Veterans shall not carry on any other activities not permitted to be carried on by an organization exempt from federal income tax under section 501 (c) (19) of the Internal Revenue code of 1954. Section II. Upon the dissolution of any chapter, their officers shall, (after paying or making provisions for the payment of all the liabilities of their corporation in order to preserve the Modern Day Veterans as a whole), dispose of all property in a manor that leads to the benefit of the Veterans as a whole. ARTICLE VI MEMBERSHIP Section I. All districts, full chapters, auxiliary chapters and members of all districts, chapters or auxiliary chapters shall be governed by National Headquarters. Section II. Classes of membership a. Full members of full chapters must be; 1. men and women who served in the United States armed forces and received an honorable discharge (cannot be less than 75% of the total members). 2. spouses or widows/widowers of men and women who served in the United States armed forces and received an honorable discharge (Cannot exceed 25% of the members). 3. Men or women related to a veteran by second degree, also called auxiliary members (cannot exceed 5% of the members). b. Auxiliary members of auxiliary chapter are 1. Men or women related to a veteran by second degree and 2 . Associate member, which do not fall in the above categories and cannot exceed 5% of the total members. ` d. Honorary members may be a member of both classes of chapters and are defined as Members who significantly serve Modern Day Veterans, may or may not be a veteran, and are given a lifetime membership. (Must be approved by National and cannot exceed 2% of the members). Section III. Membership requirements a. district memberships is for the benefit of modern day veterans national headquarters, is a chapter in good standing, and will represent modern day veterans National Headquarter as necessary. There are no membership fees. B. Full chapters and auxiliary chapters are required to renew with Modern Day Veterans National Headquarters annually, the first day of their assigned renewal month. C. individual Membership dues must be paid yearly, according to the month the individual joined. To vote in any chapter, a member must have joined on or before February 1 of any given year. d. A member may be reprimanded, suspended, or have his or her membership revoked for just cause by the majority vote of the full members, (auxiliary members of auxiliary chapters are considered full members for this purpose only), of The Chapter present at their monthly membership meeting. e. A chapter may be reprimanded, suspended, or have their charter revoked for just cause by the National Board of Directors. Section IV. All dues of all chapters or members of the chapters are non-refundable. Section V. Membership shall be for one year from the time the chapter is chartered or the individual members joins their chapter. ARTICLE VII OFFICERS Section I. The officers of all-Modern Day Veterans districts, chapters, and auxiliaries shall consist of a President, Vice president, Secretary, Treasurer, and any other officers the chapter deems necessary for the day to day operation of the chapter. The president and the secretary can not be the same person. Section ii. National and only National shall have a national board of directors. The National Board of Director titles shall be Commander and Chief, Vice-commander, Executive Director and they shall employ an Administrative Assistant or any other officers necessary for the day to day operations of Modern Day Veterans National Headquarters. ARTICLE VIII RELATIONSHIP OF HEADQUARTERS TO THE CHAPTERS Section I. Headquarters shall act as the lead representative of all districts, chapters and auxiliaries. Any decision of the National Board of Directors is binding. Section II. A. Each chapter must incorporate as a not-for-profit independent chapter within its respective state. No joint venture, partnership, trust, or other entity or agency agreement exists between Modern Day Veterans National Headquarters and any other chapter except by a separate express written agreement. B. Modern Day Veterans National Headquarters shall have no authority to enter contracts, borrow money, or lend money on behalf of any chapter. C. No chapter may act to bind Modern Day Veterans National Headquarters or any other chapter to any contract, debt or commitment except by a separate express written agreement. Section III. A. The National Board of Directors shall supervise and control all business affairs and property of Modern Day Veterans National Headquarters. B. Modern Day Veterans National Headquarters shall own all rights to any trademarks and logos of Modern Day Veterans. Section IV. Modern Day Veterans National Headquarters fiscal year ends December 31 and every chapter will default to this unless changed with the IRS. ARTICLE IX NATIONAL BOARD OF DIRECTORS Section I. The National Board of Directors consists of the three corporation directors of National Headquarters. The titles of the National Board of Directors shall be Commander in Chief, Vice-Commander, and Executive Director. They shall employ an Administrative Assistant. The National Board of Directors assists in the formation of new chapters, review of existing chapters and may employ any other officer as necessary to take care of the day to day operations of Headquarters. Section II. Any vacancy of the National Board of Directors will be filled by appointment by the remainder of the National Board of Directors. ARTICLE X DISSOLUTION Section I. A. UN-MOURNED SOLDIER ON MOTHER’S DAY LAST YEAR, MY SON-IN-LAW WANTED ME TO SEE AN HONORS CEREMONY HE AND MY DAUGHTER PERFORMED AS A PART OF INDIA TEAM, MISSOURI MILITARY FUNERAL HONORS, AT THE VETERANS CEMETERY IN BLOOMFIELD. MO. AS IS ALWAYS THE CASE I FELT EXTREME PATRIOTISM AND SORROW FOR THOSE VETERANS WE HAVE LOST. AS MY SON WAS PRESENTING THE FLAG, TO WHO I KNOW WAS SUPPOSED TO BE FAMILY, I ASKED ERIC WHO HE HAD PRESENTED TO. HE TOLD ME “MOM THAT IS A REPRESENTATIVE FROM THE VETERANS CEMETERY“. I THEN SAW THAT THERE WAS NO FAMILY OR FRIENDS PRESENT. I ASKED WHO IS HE AND WHERE IS HIS FAMILY? MY SON-IN-LAW JUST LOOKED AT ME REAL SAD AND SAID “MOM, HE IS A SOLDIER THAT WAS KILLED IN IRAQ AND HAS NO FAMILY TO MOURN HIM.” I THOUGHT THAT WAS SO SAD, I CRIED AND CRIED. WE TALKED AND CAME UP WITH THE IDEA OF HAVING MDV CHAPTERS VOLUNTEER TO GO TO THESE FUNERALS OF UN-MOURNED SOLDIERS. MDV HQ WILL REIMBURSE MILEAGE FOR ONE CAR AND UP TO FOUR PEOPLE A MEAL TO GO TO A VETERANS FUNERAL. THE FUNERAL DIRECTORS WILL CONTACT THE COMMANDERS OF THE HONORS UNIT, WHO WILL THEN CONTACT MDV HQ, WHO WILL THEN CONTACT ONE OF OUR CHAPTERS IN THE AREA TO SEND OUT MOURNERS. FROM THE IRS PUBLICATION 3386 IRC 501(c)(19) applies only to veterans’ organizations and their related auxiliaries. These organizations may conduct a broad range of activities without jeopardizing their tax-exempt status. This chapter provides answers to the questions most often asked regarding membership, exempt activities, auxiliaries, and trusts/foundations. I R C 5 0 1 ( c ) ( 1 9 ) V E T E R A N S ’ O R G A N I Z AT I O N S A. MEMBERSHIP REQUIREMENTS At least 75% of the members must be past or present members of the Armed Forces of the United States (veterans). Substantially all of the other members must be: A. cadets or B. spouses, widows, or widowers of veterans or cadets. What does “substantially all” mean? “Substantially all” means 90%. Of the 25% of the members that do not have to be veterans, 90% have to be cadets, or spouses, etc. Only 2.5% of the organization’s total membership may consist ofindividuals who are not veterans, cadets, or spouses, widows, or widowers of these individuals. Example: Post A has 1,000 members - 750 veterans, 225 spouses, and 25 members of the general public. Post A satisfies the membership requirements of IRC 501(c)(19) because at least 75% of its membership consists of veterans (750 of the 1,000 members), and substantially all of its other members are cadets or spouses, widows or widowers of members or cadets (225). Only 2.5% of Post A’s membership is made up of members of the general public. Who are considered past or present “members of the Armed Forces?” Veterans are defined as present or former members of the United States Armed Forces. The term “military or naval forces of the United States” and the term “Armed Forces of the United States” each includes all regular and reserve components of the uniformed services which are subject to the jurisdiction of the Secretary of Defense, the Secretary of the Army, the Secretary of the Navy, or the Secretary of the Air Force. Each term also includes the Coast Guard. Members who are on active duty or are honorably separated from the National Guard and the Reserve Forces are also considered veterans. Will a post jeopardize its tax-exempt status by establishing a class of membership for “social members” or “friends of a veterans’ post?” A post may permit “social members” or “friends” full membership privileges without jeopardizing its exempt status only if it limits the number of such members to no more than 2.5% of its totalmembership. If the post fails to meet the membership requirements contained in IRC 501(c)(19), it will no longer qualify for exemption. Will a post jeopardize its tax-exempt status by issuing memberships to sons, daughters and other related individuals (non-veterans) of member-veterans? The post may include non-veteran sons, daughters and other related individuals as part of its membership, so long as they, along with any other non-veteran class of membership, make up no more than 2.5% of the post’s total membership. A post exceeding this percentage mightconsider forming an auxiliary unit. B. AUXILIARIES Auxiliary units or societies may also qualify for exemption under IRC 501(c)(19). An auxiliary must be separately organized and have a separate Employer Identification Number (EIN) or its members will be considered members of the post. These units are formed to support a post already recognized as tax-exempt under IRC 501(c)(19) If the post is not exempt under IRC 501(c)(19), the auxiliary cannot qualify for tax-exemption under IRC 501(c)(19). What are the exemption requirements for auxiliaries? An auxiliary unit or society must: A. be affiliated with, and organized in accordance with the bylaws and regulations of a veterans’ organization already exempt under IRC 501(c)(19); B. be organized in the United States or any of its possessions; C. have members that are either members of the IRC 501(c)(19) organization, spouses of thosemembers, or related to those members within two degrees of consanguinity. This includes parents, grandparents, brothers, sisters and grandchildren, but does not include nieces or nephews of the member; and D. no part of the net earnings may inure to the benefit of any private shareholder or individual. Do auxiliaries have to apply for tax-exempt status under IRC 501(c)(19)? YES. An auxiliary unit or society, if it satisfies the exemption requirements listed above, may applyfor recognition of exemption by submitting Application Form 1024. Do auxiliaries have to be incorporated? NO. IRC 501(c)(19) requires that the unit or society be organized in the United States or any of itspossessions. Auxiliaries may be organized as unincorporated associations or as corporations. Can a youth organization sponsored by an exempt post and whose participants are all under the age of eighteen, qualify for exemption under IRC 501(c)(19)? If the youth unit is a separate legal entity, meets the requirements for an auxiliary unit under the Code and regulations, and submits an exemption application, it may qualify for recognition of exemption. If the unit does not meet the membership requirements for an auxiliary, it cannot qualify for exemption under IRC 501(c)(19) unless it is an organization of cadets. Youth units may qualify for exemption under other sections of the Code. May an auxiliary be recognized as tax-exempt under a Code section other than IRC 501(c)(19)? YES. An auxiliary may qualify for recognition of exemption under IRC 501(c)(3), (4), (7), (8), or (10).A determination can be made only by considering all of the organization’s operations and activities. Is there any action an auxiliary should take before applying for recognition of exemption? YES. An auxiliary should contact its central organization to determine if it has received a groupruling covering its subordinate auxiliaries. If the auxiliary has already been included in the group ruling or the central organization is willing to include it in the future, there may be no need for a separate application. I hope to answer those questions in this section. First, let me remind you that your club is a veterans club, formed under 501 ( C ) 19. Some things are taxable and some are not. Tax exempt status only applies to members (veterans and their families). Although your bar activities for members are part of your club, it is not your entire clubs purpose. All clubs are required to have meetings, elect officers, and carry out programs that meet the principles of MODERN DAY VETERANS. We are very proud of our chapters creativity in this area. Full chapters’ members must be veterans no more than 10% of club members can be non veterans. Auxiliary chapter members must be related to a veteran by at least 2nd degree. Please do not send any applications that do not meet this requirement. All chapters are required to have at least 10 full members with proof on file both at their club and at headquarters. Chapters may have auxiliary members for the purpose of raising funds for their club, but the income from non veterans is not tax exempt. cannot exceed 15% of incomeAll clubs are required to send National: Chapters have been asking if they need to have both a president and a commander. Maybe; If your bar is run as a part of your club, the officers would be elected by the members and would hire a manager to run the bar. In that case your club would only need a president, vice-president, secretary and a treasurer. These elected officers would run the club including the bar. If your bar is privately owned and the club is given the use of the bar, then you would need elected officers to run the club and the commander would run the bar. National must know what type of management your club has. The contract between the club and National should be signed by the officer in charge of the club. Remember the liquor license is given to the club. The contract that the club has with National is between the club and National, not the bar and National. Bar activity need not be reported unless it relates to the club. Most clubs have volunteers; most workers of a club are elected and not paid. If your club runs the bar this is probably the case. In this case almost everything is tax exempt. If your bar is privately owned and only lets the club have their functions there, than the bar must pay sales tax. They also probably have paid employees or are self employed. All clubs must file State and Federal employee reports quarterly (941) and/or yearly (944), using their
club’s EIN. This applies even if your club is staffed by volunteers. You would file all zeros. Not filing is illegal and will result in fines by the respective agencies, ( i.e. … IRS, Social Security and Dept. of Revenue).

The portion of the flag denoting honor is the canton of blue containing the stars representing the states our veterans served in uniform. The canton field of blue dresses from left to right and is inverted when draped as a pall on a casket of a veteran who has served our country in uniform. In the Armed Forces of the United States, at the ceremony of retreat the flag is lowered, folded in a triangle fold and kept under watch throughout the night as a tribute to our nation's honored dead. The next morning it is brought out and, at the ceremony of reveille, run aloft as a symbol of our belief in the resurrection of the body. (Wait for the Honor Guard or Flag Detail to unravel and fold the flag into a quarter fold--resume reading when Honor Guard is standing ready.) When the flag is completely folded, the stars are uppermost, reminding us of our national motto, "In God we Trust." After the flag is completely folded and tucked in, it takes on the appearance of a cocked hat, ever reminding us of the soldiers who served under General George Washington and the sailors and marines who served under Captain John Paul Jones who were followed by their comrades and shipmates in the Armed Forces of the United States, preserving for us the rights, privileges, and freedoms we enjoy today.
