PREAMBLE TO THE CONSTITUTION OF MODERN DAY VETERANS

INCORPORATED

We, the American war veterans realizing our responsibility to our fellow veterans and the many post stresses suffered by so many of our fellow comrades, associate ourselves for the following purposes:

To uphold and defend the constitution of the United States; to safeguard the principles of freedom, liberty and justice for all; to preserve the fundamentals of freedom and democracy; and to provide the mutual assistance to all veterans and their families.

We do hereby associate ourselves to upholding the constitution of MODERN DAY VETERANS and the principles herein,

so help me God.

 

PLEDGE OF ASSOCIATION

I (Your name) pledge that as an American veteran, realizing my responsibility to my nation and my fellow man; associate myself for the following purposes. To uphold and defend the Constitution of the United State. To safeguard the principles of freedom, liberty and justice for all to preserve the fundamentals of freedom and democracy; and provide the mutual assistance to all veterans and their families. I do hereby associate myself to upholding the constitution of MODERN DAY VETERANS and the principles herein,

PLEDGE OF AN OFFICER

I (Your name) do hereby accept the position of (Your office) and on my honor pledge to faithfully perform the duties of my office and to uphold the constitution and Bylaws of Modern Day Veterans,

ARTICLE I TERMS AND PROVISIONS

Section I.

This constitution sets forth the terms and provisions for MODERN DAY VETERANS National Headquarters, the sub-chapters of MODERN DAY VETERANS and all divisions and auxiliaries organized under the group exemption 9509, by the Internal Revenue Service, Internal Revenue code section 501 (c) 19.

ARTICLE II LOCATION

Section I.

The National Headquarters of MODERN DAY VETERANS is located in Poplar Bluff, Missouri.

A. Chapters of MODERN DAY VETERANS are established under the authority of the National Board of Directors for the purpose of coordinating the activities of Modern Day Veterans.

B. In recognition of Modern Day Veterans, being founded in the Poplar Bluff area, MODERN DAY VETERANS National Headquarters shall not be considered to relocate or change from the Poplar Bluff area without the majority vote of the National Board of Directors.

ARTICLE III MOTTO

The official motto of all MODERN DAY VETERANS shall be Veterans Pulling Together. MODERN DAY VETERANS National Headquarters shall hold all rights to the motto and trademark thereof.

ARTICLE IV ORGANIZATION

Section I.

No part of the net earnings of any of the MODERN DAY VETERANS chapters shall incur to the benefit of, or be distributed to, their members, officers, or other private persons.

A. Except that the corporations comprising MODERN DAY VETERANS shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distribution in furtherance of the purposes set forth.

B. Notwithstanding any other provisions of the constitution, the corporations comprising MODERN DAY VETERANS shall not carry on any other activities not permitted to be carried on by an organization exempt from federal income tax under section 501 (c) (19) of the Internal Revenue code of 1954.

Section II.

Upon the dissolution of any chapter, their officers shall, (after paying or making provisions for the payment of all the liabilities of their corporation in order to preserve the MODERN DAY VETERANS as a whole), dispose of all property in a manor that leads to the benefit of the Veterans as a whole.

ARTICLE V AIMS AND PURPOSES

Section I.

Within the spirit of our motto, Veterans pulling together, the MODERN DAY VETERANS corporations shall lend its support to all veterans and their families.

Section II.

veterans and the families of veterans shall unit fraternally in order to work together to better the lives of all veterans and their families and assist with any difficulties encountered by them. These purposes include, but are not limited to the following:

a. Help fellow veterans and their families receive the benefits for which they are entitled.

b. Find employment for veterans and their families.

c. Help the homeless veterans find housing and re-adjust to civilian life.

d. Carry on programs to perpetuate the memory of deceased veteran and members of the armed forces and to comfort their survivors.

e. Sponsor or participate in activities of a patriotic nature.

f. Provide social and recreational activities for its members.

g. Assist the disabled and needy war veterans and their dependents.

h. Promote awareness of the prisoners of war and the missing in action issues.

i. Promote the general welfare and prosperity of all Modern Day Veteran’s corporations.

j. Present and support the purposes of MODERN DAY VETERANS before the public and the government.

 

ARTICLE VI MEMBERSHIP

Section I.

All districts, full chapters, auxiliary chapters and members of all districts, chapters or auxiliary chapters shall be governed by National Headquarters.

Section II.

Classes of membership

a. Full members of full chapters must be;

1. Men and women who served in the United States armed forces and received an honorable discharge (cannot be less than 75% of the total members).

2. Spouses or widows/widowers of men and women who served in the United States armed forces and received an honorable discharge (Cannot exceed 25% of the members).

3. Men or women related to a veteran by second degree, also called auxiliary members (cannot exceed 5% of the members).

b. Members of auxiliary chapter are

1. Men or women related to a veteran by second degree and

2 . Associate member, which do not fall in the above categories and cannot exceed 5% of the total members.

` d. Honorary members may be a member of both classes of chapters and are defined as Members who significantly serve Modern Day Veterans, may or may not be a veteran, and are given a lifetime membership. (Must be approved by National and cannot exceed 2% of the members).

Section III.

Membership requirements

a. District memberships is for the benefit of MODERN DAY VETERANS National Headquarters, is a chapter in good standing, and will represent MODERN DAY VETERANS National Headquarter as necessary. There are no membership fees.

B. Full chapters and auxiliary chapters are required to renew with MODERN DAY VETERANS National headquarters annually, the first day of their assigned renewal month.

C. Individual Membership dues must be paid yearly, according to the month the individual joined. To vote in any chapter, a member must have joined on or before February 1 of any given year.

d. A member may be reprimanded, suspended, or have his or her membership revoked for just cause by the majority vote of the full members, (auxiliary members of auxiliary chapters are considered full members for this purpose only), of The Chapter present at their monthly membership meeting.

e. A chapter may be reprimanded, suspended, or have their charter revoked for just cause by the National board of directors.

Section IV.

All dues of all chapters or members of the chapters are non-refundable.

Section V.

Membership shall be for one year from the time the chapter is chartered or the individual members joins their chapter.

ARTICLE VII OFFICERS

Section I.

The officers of all-MODERN DAY VETERANS districts, chapters, and auxiliaries shall consist of a president, vice president, secretary, treasurer, and any other officers the chapter deems necessary for the day to day operation of the chapter. The president and the secretary can not be the same person.

Section II.

National and only national shall have a national board of directors. The national board of director titles shall be commander and chief, vice-commander, executive director and They shall employ an administrative assistant or any other officers necessary for the day to day operations of MODERN DAY VETERANS National headquarters.

ARTICLE VIII RELATIONSHIP OF HEADQUARTERS TO THE CHAPTERS

Section I.

Headquarters shall act as the lead representative of all districts, chapters and auxiliaries. Any decision of the National Board of Directors is binding.

Section II.

A. Each chapter must incorporate as a not-for-profit independent chapter within its respective state. No joint venture, partnership, trust, or other entity or agency agreement exists between MODERN DAY VETERANS National Headquarters and any other chapter except by a separate express written agreement.

B. MODERN DAY VETERANS National Headquarters shall have no authority to enter contracts, borrow money, or lend money on behalf of any chapter.

C. No chapter may act to bind MODERN DAY VETERANS National Headquarters or any other chapter to any contract, debt or commitment except by a separate express written agreement.

Section III.

A. The National Board of Directors shall supervise and control all business affairs and property of MODERN DAY VETERANS National Headquarters.

B. MODERN DAY VETERANS National Headquarters shall own all rights to any trademarks and logos of Modern Day Veterans.

Section IV.

MODERN DAY VETERANS National Headquarters fiscal year ends December 31 and every chapter will default to this unless changed with the IRS.

ARTICLE IX NATIONAL BOARD OF DIRECTORS

Section I.

The National Board of Directors consists of the three corporation directors of National Headquarters. The titles of the National Board of Directors shall be Commander in Chief, Vice-Commander, and Executive Director. appointment to the national board shall be perpetual. They shall employ an Administrative Assistant to assist in the formation of new chapters, review of existing chapters and may employ or elect any other officer as necessary to take care of the day to day operations of Headquarters.

Section II.

Any vacancy of the National Board of Directors will be filled by appointment by the remainder of the National Board of Directors.

Section III

All income, revenue, and earnings of MODERN DAY VETERANS NATIONAL HEADQUARTERS shall be held, used, devoted, and applied at the discretion of the National Board of Directors.

ARTICLE X DISSOLUTION

Section I.

A. Upon the dissolution of any chapter of MODERN DAY VETERANS, after making provisions for the payments of all outstanding debts, shall dispose of all assets in accordance with article IV. It shall be done in the following order precedence (1) National Headquarters (2) MODERN DAY VETERANS chapters in good standing (3) other veterans organizations.

Compensation may be paid to persons serving as national officers.
